You will learn about the principles of corporate governance. You will cover topics such as issues and good practices of companies’ governance mechanisms. This will also touch on intracompany operations and companies’ engagements with the wider community.

This module will be relevant if you want to practice company law and be able to provide professional advice on corporate governance.

What you will learn

In this module, you will:

  • learn about the distribution of powers within the companies’ governance mechanisms
  • learn the UK Corporate Governance Code and global standards
  • study directors’ duties, shareholder protection, and stewardship
  • comprehend the transparency requirements on companies and financial market integrity
  • discuss the function of professional gatekeepers: auditors and lawyers
  • explore companies’ Corporate Social Responsibility (CSR) and corporate culture

By the end of this module, you will be able to:

  • show the ability to explain and analyse the legal and organisational aspects of corporate governance
  • show an understanding of corporate governance as an inherently comparative and interdisciplinary subject
  • identify and assimilate material from a wide variety of legal and other sources. This will allow you to successfully engage with seminars and assessment
  • produce a piece of independent research with critical analyses of a corporate governance topic
  • provide professional advice on the design of companies' governance mechanisms and effective practices
